1. Factoring

Factoring is a financing business in the form of buying and or transferring and managing short-term receivables or claims of a company from a trade transaction where the bank can bear the total risk of uncollectible receivables from the obligor.

Factoring or invoice factoring is financing by purchasing company receivables. According to the Decree of the Minister of Finance Number 1251/KMK.03/1988, factoring activities can be concluded as follows:

1. Takeover of a company’s bills for a fee.
2. Purchase of company receivables in a trade transaction at a price in accordance with the agreement.
3. Managing a company’s credit sales business, meaning that the factoring company can manage the credit administration activities of a company according to the agreement.

3. Company Acquisition

Based on several definitions, the acquisition can be concluded as the takeover of ownership of a company by another company which is carried out by buying part or all of the company’s shares, where the company being taken over still has its own laws with the intention of business growth.

According to Shapiro (1991: 933) in Christina (2003: 12), the gains or benefits of acquisition are as follows:

1. Increase the growth rate faster in the current business than doing growth internally.

2. Reducing the level of competition by purchasing several business entities in order to combine market power and limit competition.

3. Entering new impenetrable current sales and marketing markets.

4. Provide managerial skills, namely the existence of managerial assistance in managing the assets of business entities.
